The Long and Short
Nemak | Spreads, fundamentals, rates make it rich

Nemak’s plan to refinance its 2028 euro bonds with longer-dated peso debt would improve the auto-parts maker’s maturity profile. But weaker earnings, elevated leverage, uncertain US auto demand and the 2026 USMCA review leave little room for disappointment. The 2031 dollar bonds yield about 7.0% after a strong rally and now trade only 120 bp wider than CEMEX, inside the two-year average of 180 bp. With EBITDA down 6% in the second quarter despite the addition of GF Casting Solutions — and down 17% excluding the acquisition — current spreads no longer adequately compensate for fundamental and policy risks. Use recent strength to move up in quality to CEMEX or switch into comparable yields at Orbia, where regulatory headline risk is lower and potential asset sales offer upside.
Nemak’s decision to tender for its euro-denominated 2028 bonds should leave the U.S. dollar-denominated 2031 bonds as its primary offshore debt tranche. The company plans to finance the tender with five- and seven-year peso-denominated Cebures and cash, extending its average debt life and reducing near-term refinancing risk. That is positive for creditors, but it comes as the operating environment becomes more challenging. High interest rates threaten U.S. auto sales and production, potentially weighing on demand for Nemak’s components. The company may offset some of that pressure by increasing content per vehicle; however, it’s clear that industry conditions have become more challenging.
The 2026 USMCA review adds another source of uncertainty. Negotiations are expected to focus heavily on the auto industry, including ‘rules of origin’ and efforts to prevent non-USMCA countries from benefiting indirectly from the agreement – so called ‘free-riding’. Tighter regional-content requirements could eventually create opportunities for Nemak to replace Asian or European imported components with locally produced parts. In the near term, however, a potentially lengthy negotiating process could create considerable volatility for auto suppliers.
Current valuations provide little cushion against those risks. Nemak’s bonds are trading near their tightest levels relative to CEMEX, with the more liquid, investment-grade cement producer now about 120 basis points through Nemak. That compares with an average differential of roughly 180 basis points over the past two years and about 290 basis points when USMCA concerns intensified in March 2025. As such, investors are receiving substantially less spread compensation than they were during previous periods of trade-policy uncertainty, even though the fundamental outlook has become more challenging.

Nemak’s second-quarter results offered limited fundamental support. Revenue increased 18.5% from a year earlier, but the comparison includes GF Casting Solutions (GFC), which Nemak acquired in the first quarter of 2026. Excluding the acquisition, we estimate revenue increased about 6%, largely because of higher aluminum prices. EBITDA fell 6% despite the contribution from GFC. The decline reflected higher one-time expenses, the absence of commercial compensation received in the second quarter of 2025 and unfavorable currency movements. The results also highlight continued cost inflation and difficulty fully passing through the effects of supply-chain disruptions.
Net debt to EBITDA stood at 3.0x at the end of the second quarter, up from 2.4x at year-end 2025. Meeting full-year EBITDA guidance should bring leverage back toward the mid-2x range, even before additional debt reduction from free cash flow. Expectations for lower leverage were an important part of the investment case for Nemak about a year ago, when its bonds appeared cheap relative to other Mexican corporates and BB-rated Latin American credits. That discount narrowed substantially as the bonds rallied later in 2025, following a period of weak sentiment tied to Nemak’s electric-vehicle strategy and concerns about Mexican tariffs.
At a yield of about 7.0%, we view Nemak’s bonds as expensive relative to the company’s fundamental and event risks. The business retains a strong competitive position, supported by long-standing customer relationships and specialized manufacturing capabilities that are difficult to replace. However, those strengths are increasingly reflected in the bond price. Underlying EBITDA remains under pressure; leverage is above historical levels and the outlook for U.S. auto production is uncertain. The USMCA review adds another potential source of volatility at a time when spreads provide little cushion against adverse developments.
After strong price and spread performance since July, current levels no longer offer sufficient value, in our view. We would prefer to move up in credit quality to the more liquid investment grade CEMEX bonds, given the narrow-spread differential. Alternatively, Orbia offers comparable yield with less direct exposure to USMCA-related auto-sector risk and potential upside from asset sales.
